By accessing or using Sporeboard ("the Service", "we", "us", or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Service. These terms apply to all visitors, users, and others who access the Service.
Sporeboard is an online marketplace that connects independent content creators — including newsletter creators, YouTube creators, Instagram creators, and TikTok creators — with brands and advertisers seeking sponsored placements. Sporeboard facilitates introductions and transactions between creators and brands but is not a party to the underlying sponsorship agreements.
Sporeboard is intended for use by residents of the United States only. By creating an account, you represent and warrant that you are a resident of the United States. We make no representation that the Service is appropriate or available for use in other locations. If you access the Service from outside the United States, you do so at your own risk and are solely responsible for compliance with local laws.

Sporeboard charges a platform fee on each completed transaction:
Stripe payment processing fees (approximately 2.9% + $0.30 per transaction — subject to change per Stripe's pricing) are deducted from the brand's payment first. The remaining amount is then split between Sporeboard and the creator according to the applicable fee rate. For example, on a $100 deal, Stripe deducts approximately $3.20, leaving $96.80. Of that, a standard creator receives 85% ($82.28) and Sporeboard retains 15% ($14.52). A Founding Creator receives 90% ($87.12) and Sporeboard retains 10% ($9.68). The exact payout breakdown is displayed to creators before they accept any deal.
Payment hold. When a brand completes checkout, the payment is held safely by Sporeboard via Stripe — the creator does not receive any funds until delivery is confirmed or the auto-release period expires. Sporeboard acts as an intermediary and does not release funds outside of these defined conditions.
Custom offer payment deadline. When a creator accepts a custom offer, the brand has 48 hours from the time of acceptance to complete checkout and pay. If payment is not completed within that window, the offer is automatically cancelled, the creator is notified, and no charge is made to the brand. The brand may send a new offer if they still wish to proceed.
Automatic cancellation of unaccepted direct bookings. For direct bookings (where the brand pays at the time of booking), if a creator does not accept or decline within 72 hours of the brand's payment, the deal is automatically cancelled and the brand receives a full refund of the amount paid. Sporeboard absorbs the Stripe processing fee on the original transaction.
Auto-release. After content is delivered, brands have 3 days to confirm delivery. If no confirmation or dispute is received within that window, funds are automatically released to the creator. First-time brands receive an extended 7-day review window on their first completed deal; subsequent deals revert to the standard 3-day window. By using Sporeboard, brands acknowledge and agree to this automatic release policy.
Disputes. Either party may file a dispute during the confirmation window. Filing a dispute pauses the auto-release. Sporeboard reviews all disputes and makes a final determination at its sole discretion. Sporeboard's decision is final and binding on both parties. When filing a dispute, brands are required to select a reason (e.g. content was never posted, creator did not follow the brief). The original brief submitted at checkout and the creator's proof of delivery URL are used as the primary evidence in any dispute review. Creators are expected to deliver content that materially follows the agreed brief; failure to do so may result in a full or partial refund to the brand.
Mutual cancellation. Either party may request cancellation of a live deal. Cancellation requires the written consent of both parties through the Sporeboard platform. The other party has 48 hours to respond; if they decline or do not respond within that window, the request expires and the deal remains active — both parties are expected to fulfil their obligations. Sporeboard does not intervene in cancellation requests unless a separate dispute is filed.
Chargebacks. If a brand initiates a chargeback through their bank or card issuer, Sporeboard reserves the right to freeze the associated deal, suspend the brand's account, and contest the chargeback using deal records, delivery proof, and communication history. Creators are not penalised for chargebacks that are outside their control.
Creator Stripe requirement. Creators must connect a Stripe account to receive payouts. If a payout cannot be transferred due to a missing or incomplete Stripe account at the time of release, Sporeboard holds the funds until the creator's Stripe account is set up. Held funds are not forfeited and will be released once the creator completes Stripe onboarding.
Creators are not required to connect a Stripe account to receive bookings. Brands may book a creator at any time regardless of their Stripe status. However, funds will not be disbursed to the creator until a valid Stripe account is connected. Pending funds are held securely by Sporeboard and released automatically once the creator connects their Stripe account.
Payouts to creators are processed via Stripe Connect. Payout timing is subject to Stripe's standard payout schedule. Sporeboard is not responsible for delays caused by Stripe or your connected bank.
By creating an account and checking the terms acceptance box at signup, users confirm they have read, understood, and agree to these Terms of Service. Sporeboard records the timestamp and IP address of each acceptance. This record constitutes evidence of agreement. Users who do not agree must not create an account or use the Service. The IP address recorded at signup is collected solely to establish evidence of agreement and is handled in accordance with our Privacy Policy.

Sporeboard reserves the right to investigate any account suspected of violating platform integrity. This includes but is not limited to accounts that appear to have purchased followers or engagement, accounts that have claimed Founding Creator status through fraudulent means, and accounts involved in the unauthorized transfer or sale of platform privileges.
Violations of this section may result in immediate and permanent account termination, forfeiture of any pending payouts, revocation of Founding Creator status and associated lifetime fee reductions, and referral to relevant authorities where fraud or financial misconduct is involved.
If you suspect another user of violating these terms, please report it to support@sporeboard.live. We take platform integrity seriously and investigate all credible reports.
The Sporeboard platform, including its design, features, and underlying code, is owned by Sporeboard and protected by intellectual property laws. You may not copy, modify, or distribute any part of the platform without our written permission.
By submitting ad copy or other content to the Service, you grant Sporeboard a limited license to display that content as needed to operate the platform. You retain ownership of your content.
The Service is provided "as is" without warranties of any kind, express or implied. Sporeboard does not guarantee that creators will deliver placements, that brands will complete payment, or that any particular outcome will result from use of the Service.
To the maximum extent permitted by law, Sporeboard's liability to you for any damages arising from use of the Service shall not exceed the total fees you paid to Sporeboard in the twelve months preceding the claim.
Sporeboard reserves the right to suspend or terminate your account at any time, with or without notice, for conduct that we believe violates these Terms of Service or is harmful to other users, us, or third parties. Upon termination, your right to use the Service will immediately cease.
Sporeboard shall not be liable for any delay or failure to perform its obligations under these Terms where such delay or failure results from circumstances beyond its reasonable control, including but not limited to: internet or infrastructure outages, third-party service failures (including Stripe or Supabase), natural disasters, acts of government, or other events outside Sporeboard's control. In such circumstances, affected obligations are suspended for the duration of the event.
If you believe that content on Sporeboard infringes your copyright, please send a notice to support@sporeboard.live with: (1) a description of the copyrighted work, (2) a description of where the infringing content appears on the platform, (3) your contact information, and (4) a statement that you have a good-faith belief the use is not authorised. We will investigate and take appropriate action, which may include removal of the content and termination of repeat infringers' accounts.
These Terms of Service are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved in the courts of California.
